Review and streamline use of regional standard commercial agreements
Our client is the South-East Asia headquarter of a French group. They experienced recurring difficulties with their licencees in the region and felt their standard licence agreement was not adequate to deal with those difficulties.
How we helped
We conducted interviews with the contract manager to obtain details of the difficulties encountered and what she saw as missing or inadequate in the existing standard licence agreement.For instance she felt the licensor right to terminate the agreement in case of non compliance with a number of minor obligations was not helpful to deal with those.
We proposed a revised standard licence agreement accessible through a portal dedicated to our client (for ease of use). Our client has now an arsenal of clauses to scale the contractual consequences of breaches, minor or materials.
